Background

The Malawi Agricultural and Industrial Investment Corporation (MAIIC) Plc is a local development finance institution (DFI) incorporated in November 2018 under the Company’s Act of 2013. The company was established to bridge the long-term financing gap in Malawi and spearhead private sector development. MAIIC is a commercially oriented DFI set up to play a leading role in socio-economic development in the country.

Applications are invited from suitably qualified and experienced candidates to fill the following position:

Legal Officer

Position Summary

The Legal Officer is responsible for providing expert legal advice, ensuring regulatory compliance, and managing risks for the institution. They act as the primary legal advisor, liaising with external counsel, reviewing corporate documents, and assisting management on legal issues. The Legal Officer will report to the Head of Legal.

Key Responsibilities and Duties

To work with the Head of Legal and assist in:

  • Drafting and preparing legal documents related to the creation and perfection of security interests, including mortgages, pledges and guarantees.
  • Implementing the necessary steps to perfect security interests in accordance with applicable laws and regulations. This may include filing with relevant authorities, obtaining consent, and ensuring all requirements are met.
  • Managing the registration process for security interests, liaising with government departments and ensuring all necessary documentation is submitted timely and accurately.
  • Ensuring all legal “Conditions Precedent” are met before the release of funds to clients.
  • Handling legal requests for changes to existing loan terms.
  • Leading the strategy for debt recovery, restructuring or exit in the event of a default.
  • Providing legal advice and guidance to management on a broad range of legal issues, including corporate law, employment law, perfection and registration of securities and contractual matters.
  • Collaboration with external legal counsel when necessary.
  • Drafting, reviewing and negotiating a variety of contracts, agreements, and legal documents.
  • Ensuring that contracts comply with applicable laws, regulations and company policies.
  • Maintaining and updating corporate records, ensuring accuracy and completeness.
  • Managing the filing of necessary documents with relevant authorities.
  • Maintaining accurate and up to date records of all perfected security interests, ensuring easy retrieval and reference when needed.

Qualifications and Experience

  • Bachelor’s degree in law with minimum of 3 years working experience.
  • Proven experience as a Legal Officer/Legal Manager in the financial services sector and corporate law is an added advantage.
  • In-depth knowledge of corporate governance, compliance and relevant laws.
